1. Acceptance of Terms

By accessing or using the Nova AI Ops platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you (either an individual or entity) and Nova AI Ops. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Nova AI Ops is an enterprise-grade AI-powered infrastructure operations platform that provides:

  • Infrastructure Monitoring:: Real-time monitoring of servers, containers, applications, and cloud resources.
  • Incident Management:: Automated incident detection, alerting, escalation, and resolution tracking.
  • AI-Powered Analytics:: Intelligent insights, anomaly detection, and predictive analysis.
  • Collaboration Tools:: War rooms, team communication, and coordination features.
  • Automation & Orchestration:: Workflow automation and response orchestration capabilities.
  • Integrations:: Connections with third-party tools and services.

The Service is designed for professional use by DevOps teams, SREs, and IT operations personnel.

3. Account Registration and Security

Account Creation:: To use the Service, you must create an account by providing accurate, complete, and current information.

Account Security:: You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activities that occur under your account.
  • Immediately notifying us of any unauthorized access or security breach.
  • Implementing appropriate access controls for team members.

Multi-Factor Authentication:: We strongly recommend enabling MFA for enhanced security. Certain features may require MFA.

We reserve the right to suspend or terminate accounts that violate these Terms or pose security risks.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall NOT:

Prohibited Activities:

  • Use the Service for any illegal or unauthorized purpose.
  • Attempt to gain unauthorized access to any systems, networks, or data.
  • Interfere with or disrupt the Service or servers/networks connected to it.
  • Transmit viruses, malware, or other malicious code.
  • Engage in data scraping, crawling, or unauthorized data collection.
  • Impersonate others or misrepresent your affiliation with any entity.
  • Use the Service to monitor systems without proper authorization.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Resell, sublicense, or redistribute the Service without authorization.
  • Use the Service in violation of any applicable laws or regulations.

Fair Use:: You agree to use the Service within reasonable limits. Excessive usage that impacts service availability for others may result in restrictions.

5. Subscription and Payment

Payment Terms:

  • Fees are charged in advance on a monthly or annual basis.
  • All fees are non-refundable except as required by law or stated in our refund policy.

Taxes:: Fees do not include applicable taxes, which you are responsible for paying.

Our IP:: The Service, including all software, designs, documentation, and related materials, is owned by Nova AI Ops and protected by intellectual property laws. You receive a limited, non-exclusive license to use the Service during your subscription.

Your IP:: You retain all rights to your Customer Data and any custom configurations you create.

Feedback:: If you provide suggestions, ideas, or feedback about the Service, we may use them without obligation to you.

Trademarks:: Nova AI Ops, and associated logos are trademarks. You may not use them without our written permission.

8. Third-Party Integrations

The Service may integrate with third-party applications and services. Your use of such integrations is subject to their respective terms and policies.

Disclaimer:: We are not responsible for third-party services and do not guarantee their availability, accuracy, or security. You use integrations at your own risk.

API Access:: Access to our APIs is subject to additional API terms and rate limits.

9. Service Availability and Support

Availability:: We strive to maintain high availability but do not guarantee uninterrupted service. Planned maintenance will be communicated in advance when possible.

Support:: Support is provided according to your subscription plan. Response times and support channels vary by tier.

Updates:: We may update, modify, or discontinue features with reasonable notice. We will not materially reduce functionality during your paid subscription period without offering alternatives.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

WE DISCLAIM ALL WARRANTIES INCLUDING:

  • Merchantability and fitness for a particular purpose.
  • Non-infringement.
  • Accuracy, reliability, or completeness of content.
  • Uninterrupted or error-free operation.

THE AI-POWERED FEATURES PROVIDE RECOMMENDATIONS AND INSIGHTS BUT ARE NOT GUARANTEED TO BE ACCURATE. YOU SHOULD VERIFY CRITICAL DECISIONS INDEPENDENTLY.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Exclusion:: WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

Cap:: OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Exceptions:: These limitations do not apply where prohibited by law or in cases of gross negligence or willful misconduct.

12. Indemnification

You agree to indemnify, defend, and hold harmless Nova AI Ops, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any third-party rights.
  • Your Customer Data.
  • Systems or infrastructure you monitor through the Service.

13. Termination

By You:: You may terminate your account at any time by contacting us or using account settings. No refunds for unused subscription periods unless required by law.

By Us:: We may suspend or terminate your account if you:

  • Violate these Terms.
  • Fail to pay applicable fees.
  • Engage in fraudulent or abusive conduct.
  • Pose a security risk.

Effect of Termination:: Upon termination:

  • Your access to the Service will cease.
  • We may delete your data after a reasonable retention period.
  • Provisions that should survive termination (IP, disclaimers, liability) will remain in effect.

14. Modifications to Terms

We may modify these Terms at any time. Material changes will be communicated via:

  • Email to your registered address.
  • Notice within the Service.
  • Posted updates with a new effective date.

Continued use of the Service after changes constitutes acceptance. If you disagree with changes, you should discontinue use and terminate your account.

15. Governing Law and Disputes

Governing Law:: These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

Dispute Resolution:: Any disputes shall be resolved through:

  1. Good-faith negotiation between the parties.
  2. Binding arbitration under AAA Commercial Arbitration Rules.
  3. Courts of competent jurisdiction in Delaware (if arbitration is not applicable).

Class Action Waiver:: You agree to resolve disputes individually and waive any right to class or consolidated actions.

16. General Provisions

Entire Agreement:: These Terms, together with the Privacy Policy and any additional agreements, constitute the entire agreement between you and Nova AI Ops.

Severability:: If any provision is found unenforceable, the remaining provisions shall continue in effect.

Waiver:: Failure to enforce any provision does not constitute a waiver of that right.

Assignment:: You may not assign these Terms without our consent. We may assign them in connection with a business transfer.

Force Majeure:: Neither party shall be liable for delays due to circumstances beyond reasonable control.
